STANDARD TERMS AND CONDITIONS
Every Quote is subject to our standard terms and conditions. By accepting the quote, through making payment and or through writing instruction, you are agreeing that you have fully read and understood the contents of our terms and conditions.
Payment Terms
A 70% (strictly) deposit is payable on acceptance of this quotation, 20% on delivery of units to site – the balance and any other applicable charges are due on completion should CLITE be responsible for installation.
There will be a 2.5% surcharge made on all cash deposits and credit card payments.
Products and/or installation service below R8000 are to be paid in full on confirmation of your acceptance of the quote.
No payments will be subject to a draw from your financial institution, approval by an architect, other professionals, an occupation certificate from Local Council or for any other reason whatsoever unless agreed to in writing by both parties on acceptance of this agreement.
A 70% Deposit will also be required on any and all additional work required after this quotation is accepted.
Unless expressly agreed otherwise all invoices are due and payable within 3 days of invoice date. Should payment not be received within the 3 days lead time, work will stop immediately until payment reflects.
No retention, nor penalties, will be accepted.
Final payment is due on practical completion (The stage of completion where the works or a section thereof is substantially complete and can effectively be used for the purposes intended). All our work is guaranteed and any snags will fall under the guarantee.
If you don’t pay on time, we can cancel our contract or suspend delivery or installation, until you have paid the outstanding amounts. Interest at our banker’s prime lending rate will be charged on late payment from date of default until paid in full. No Guarantees will be applicable unless all monies are paid in full.
No Deposit will be refunded in the event of a cancellation or any delays which may occur through no fault of CLITE.
Handling and or Cancellation fees may apply in cases where goods has already been started in manufacturing and cancellation is by no fault of CLITE.
All products manufactured, delivered and/or installed shall remain, in total, the sole property of CLITE Home Solutions until paid for in full.
Payment of order deposit is acceptance of offer.
Product Size and Aperture Preparation
The quotation is based upon the sizes of product quoted, and the preparation of apertures is the responsibility of the Client. The apertures of the building will be pre-measured before manufacturing commences.
All DIY or Build in Cupboard units build by CLITE’s carcasses is made from Standard White Melawood. Doors, side panels, Kickplates & Top Plates, and other customary items to be fitted to the Carcasses is as per quote specifications, design layouts and or final details confirmed in writing.
The units ordered herein are made to measure and once units have been manufactured, it cannot be cancelled or varied in any manner whatsoever. Should changes be required, the Client undertakes to pay for all costs already incurred by CLITE in the execution of this order whether fully or partially completed.
Whilst every endeavor is made to ensure the accuracy of our quotations we accept no liability for errors or omissions which may be found to have occurred.
The Client is advised to carefully study the quotation to establish the accuracy thereof.
Any changes to the quote will be in writing, No verbal changes to the quote will be accepted and if so, CLITE will not be held responsible for any errors.
Manufacturing
A Standard Lead time of +/- 15 -21 working days is to be allowed to manufacture standard items of stock. Special items or colours could take longer, or as advised by C LITE. Lead time on quote must be adhere to. There are times because of conditions out of our control that lead time may be dictated by unforseen events (power failures, weather conditions not be able to transport cupboards etc).
All custom goods lead time will be specified at the time of quote enquiry and will be indicated on the quote detail for clarity. Lead times will be determined based on the production volumes and manufacturing times at the time of enquiry, times could change at any moment as per order volumes placed or received at the time of quote works done.
Powder Coating & Anodising of special colours +/-15 working days, Client to provide correct colour code or sample.
This quotation is subject to the express condition that C LITE shall in no way be liable for any consequential loss,
damage or delay to the customer arising from an Act of God, Act of State, breakdown of equipment, labour dispute, war, riot civil commotion, transport delay or any other causes beyond the control of C LITE Home Solutions.
Wood and Natural products
Information and disclaimer on bespoke items / sizes and commission pieces
We are happy to undertake work which may include bespoke or unusual design or sizing from our 'standard sizing'. Please be aware that such commissions are made on the agreement that they cannot be returned to us. We can send photos of completed bespoke items to you for a final 'sign off' if requested, before sending out to be delivered to you. Any design that is not specifically laid out in design or product material or in specific profiles will be open to C LITE's interpretation and by that CLITE will be given free creativity. If you want something specific you need to be very specific in all design elements!
You must also ensure that you have suitable access into your property / the desired room for any products you order from us, as items cannot be returned for access reasons.
Where sizes are specified by the customer, these are assumed to be the total dimensions to be made, which will include any fixtures or fittings which are to be added to any product or design (unless specified otherwise by customer). If you for example specify the length of a specific product or item that length will be final size and any opening size for example previous depicted will be not applicable being override by final or overall lengths etc. unless otherwise specifically agreed on in writing with C LITE
If you request an ambiguous colour which is not from our specific colour range (e.g. you request just 'White' rather than 'Extra white' or 'Iceberg White'), we will distinguish the shade from our available colours unless you specify otherwise.
We reserve the right in all instances (bespoke or otherwise) to cancel an order at our discretion before items have been sent. A full refund will be sent in such circumstances.
Information and disclaimer on our paints and finishes
Every care is taken to ensure a good paint finish on our products. Most of our products are finished by brush and hand unless otherwise stated, and will therefore contain signs of this manual process, including brush marks and other blemishes even on our DUCO finishes as it is also manual process.
If you have another brand of paint you'd like to use, just ask - we can probably find it or get a mixture made to the same shade.
Information and disclaimer on our wood products
Wood is a natural product that responds to temperature and humidity variations by expanding and contracting. Sometimes these changes may be noticeable in the physical appearance of the product.
The conditions of your home can affect the wooden products you buy from us as the humidity differs from place to place and room to room. Your items can experience small movements and cracks as it adjusts - this is not a fault, but a natural occurrence within the fibres of a natural product.
We advise you to keep the product in consistent, stable conditions to minimize the affects of temperature and moisture change in the atmosphere. For example, avoiding placing the product close to a heat sources such as a heater or oven will go a long way to ensuring the longevity of the product. Always try as possible to keep out of direct sunlight and if so make sure that your product is thoroughly treated and maintained.
The industrial pine on many of our products range is a industrial in nature and will have more knots and can even have small cracks and we cannot offer or guarantee any uniformity, tone or colour throughout the wood. It is the character of this timber and not a defect. If you are not prepared to accept the variety of colours and grains found in this wood, you should consider buying a different product.
EXPORTS OF ANY WOODEN PRODUCTS
Note must be taken when any product manufactured by C LITE is exported to any country outside of South Africa. C LITE will not be held liable or will be responsible for any wooden product to be imported or exported to any country for any special treatments on any timber product and or any certification that may be needed for import or export purposes that may be required by any authority thereto. Should any special treatment of wood or any specific timber / wood be required or be used with or without any specific certification then C LITE must be informed of such requirements and must be specifically stated in any such circumstances. Any project or quote given without any such specific requirements will not be interpreted as if such requirements are automatically included. If it is not specifically stated it is not included and C LITE will not be held liable for any such exclusion.
As atmospheric weather conditions differ from each new zone of the world, it should noted also that natural solid wood species whether hard or softwoods, like industrial pine, kiaat or any / all wood species for that matter, is ever changing and subject to expand, contract, warp, bend and more depending on the change in weather conditions and climates and could change wherever the drop or rise in moisture and humidity.
In the shipment via sea fright the change in moisture and or humidity could be variable in large forms as well as air freight weather conditions. All of which plays a big role in the end product settling into the new zone with the possible climate changes affecting the natural wooden product.
It should also be noted to all customers that should any of the products manufactured by C LITE, be exported, it is done so at their own expense and risk. We will not be held liable for the packaging or the securing of goods for freight in terms of the standard packaging declarations that are to be made and issued by the customer. We do not issue or prepare any manufacturing / packing declarations in such cases as well.
C LITE also does not complete or prepare on behalf of a customer the border forms for exporting any wood product, especially the ISPM-15 for any such export.
Information and disclaimer about our reclaimed timber products
Reclaimed timber products do not suit everybody. They come with characterful flaws which many people love but some do not. These flaws can include bowing, cupping and gaps appearing over time. You may find that gaps will appear (or sometimes come and go) depending on the atmosphere (humidity etc) of your home. This is not a fault, it is the wood reacting to it's environment by swelling and contracting according to differing moisture and heat over time. This is also true of most of new pine products as well.
Reclaimed timber is a natural product and may contain certain aged characteristics including but not limited to: colour variation, nails / nail holes, saw marks, dents / scratches, mortise holes, insect holes, staining, tapering, wane etc.
Reclaimed wood dimensions will not necessarily be as exact as using brand new timber, therefore the dimensions on the finished product can vary slightly.
Appearances of reclaimed wood can also vary from board to board even when sourced at the same time from the same venue. Our imagery and samples are used to demonstrate the general style and quality of the products but the end product will ultimately differ.
A suitable wood filler will be used where an otherwise usable piece of timber requires it. You may find areas of wood filler on your reclaimed wood product, including on table tops.
Although every effort is made to protect and seal the wood on our products (if you choose that we treat your product as many of our products are untreated - unfinished if not stated otherwise), wood will inevitably continue to move in tune with the environment. You can help minimize this movement by keeping the products at as stable an environment (temperature, moisture) as is possible.
Our reclaimed timber comes from a variety of sources, including construction projects. Therefore, there may be nails and other objects in the wood, both metallic and non-metallic.
Being previously used and worked timber, the possibility of decay or fungus can exist. We endeavour to ensure that our timber products are of suitably high quality, but is impossible to eliminate all the risks associated with using reclaimed wood and cannot be held liable for any issues that arise with the use of this material after taking all reasonable steps to ensure suitability.
Wood Species
With at least 23,000 different species of tree in the world, it can therefore be difficult to 100% assert the type of wood used in any of our products. Other than any oak, pine or tropical hardwood, we cannot guarantee the species of any of the wood products we sell. Where a wood type is listed, this is our 'best guess', but this by no means guarantees the species of a particular piece of wood.
Buying a solid wood product is a double edge sword. Solid wood product gives you a natural look and each piece is unique. Solid wood also does not break down like particleboard or MDF when exposed to moisture. It will bend and move with extreme moisture but it will not breakdown. The negatives to solid wood is that each piece is unique and many times each component with a piece is unique and will take a finish differently because of that. Also expect minor, non-structural seasoned splitting, knots, minor natural staining in solid wood. One must remember that it is not an engineered product…you get what you get from nature and the factories need to work with and around the natural characteristics of wood. Perfection is not attainable. If you are looking for perfection, you should consider buying a engineered veneered product and give up the look, depth of finish, feel and longevity of solid wood.
Because of the above, we cannot compensate or replace items that have what is considered manufacturer acceptable imperfections.
Stained products
Stained wood can have variety of color ranges depending on the wood and can occur to have different colors especially on pine but may also occur on other hardwoods. Because wood is a natural product with many variations stain wood is not an exact science. Please be aware that that color variations may occur when staining your product.
Wrap Doors and profile sides (wrap, duco, etc)
Due to the nature of wrap, especially on solid colours, colour variances may occur when acquiring wrap doors. C LITE will not remanufacture, or be held liable for any colour differences in foil where goods were ordered on different dates, or manufactured in different batches. Differences in duco coats also apply to the above.
Granite and Engineered Stone
Granite is a natural porous product. Generally, any liquid spilled on a granite top, if wiped up within a few minutes, will not stain. However, even water can soak into a granite countertop and leave a dark coloured spot but this will evaporate in minutes. Liquids that do not evaporate, such as oils and wine will cause stains if left to soak into the stone. For the longevity of your granite we will suggest applying a penetrating sealer (available from most hardware stores and granite suppliers). Routine cleaning of your countertops with mild soap and water is all that is generally required. Once every 4 years, a re-application of a penetrating sealer should be performed, which only takes about 15 minutes.
Engineered stone (Quartz & resin product) will keep their enduring lustre and beauty for years to come, with minimal effort. Warm water and a splash of mild detergent is all that’s required - there’s no need to wax or seal. It’s important to be aware that like any other surface, it can be permanently damaged if exposed to strong chemicals and solvents that can damage its physical properties. Never clean surface with products that contain
Trichlorethane or Methylene chloride. Avoid the use of highly aggressive cleaning agents such as oven/grill cleaners and dishwasher polishing agents that have high alkaline/pH levels (pH 8.5 or higher). Products containing oils or powders may leave a residue and should be rinsed off thoroughly. Should your surface accidentally be exposed to any of these damaging products, rinse immediately with clean water to neutralize the effect. See warranty info on your specific product on their website.
C Lite will not be held responsible i.r.o. problems not reported within 24 hours from installation. Any client-attorney costs which may arise from this order will be paid by the client. Interest will be charged at prime rate plus 5%. It is agreed that C Lite may use any photos taken of the work done for advertising purposes.
Delivery
Goods delivered with protection will be deemed to be in good condition.
The risk in and to the goods sold and delivered by CLITE to the Client shall pass to the Client upon delivery.
Once goods are delivered CLITE accepts no liability should damage occur. CLITE Home Solutions will not be responsible for any loss, theft or damage to existing property or personnel injuries.
Installation
Should site conditions delay installation, CLITE reserves the right to be compensated for any additional expenses which may be incurred. If our installation teams are required to work according to Clients time schedule, “split installations” a new installation date will have to be rescheduled. All outstanding monies to be settled immediately.
Should our site commencement date exceed 2 months from date of appointment, we reserve the right to amend the material prices according to any increases received from our suppliers.
Duration of installation will vary depending on the status of the building once work commences.
After hours and weekend installation will be charged additional if Client insists installation to proceed after hours.
We will take care when installing our products, we will not be liable for damage caused to your property in the process, unless caused willfully. For example;
- tiles almost certainly will break aluminium doors and where chisel works are done,
- plaster will be damaged while removing existing windows & doors.
- dust will be present and is unavoidable while working.
- It’s difficult to work over/ between plant beds and not damage any plants.
CLITE will not guarantee waterproofing for any Sliding door or Vista fold tracks being put “on top of tiles”.
We will not be held responsible for floors that are not level. Any adjustments or cutting of doors will be for Clients account.
CLITE will supply access ladders up to 2.5m. Access equipment (scaffolding, hoists, etc.), would be an extra if required.
The appointment of a safety representative and safety files are excluded from this quote.
Client has the choice to leave protection on and clean himself or to ask us to clean while we are on site. Any call outs for cleaning and removal of protection will be charged for.
Whilst we will endeavour to meet the required installation date, such date shall not constitute a material term of this contract and any failure to adhere to such proposed date shall not entitle the Client to cancel this contract or to relieve him from his strict performance of all his obligations.
Once your project is complete, you will be notified and we require that you inform us of any concerns or snags within 48hours, or we will assume you are 100% satisfied.
Exclusions
Our quote works excludes all or any building, plastering, painting, plumbing, electrical and tile work, unless so requested and specified / confirmed in writing.
Normal cornice exclusion of cupboards extending to ceilings unless specified in quote as included.
We can arrange removal of waste material from the site, at additional cost to you.
This quotation specifically excludes sandblasting, night-latches, cabin hooks, burglar bars, weather strips or any special ironmongery unless so specified in writing.
Flush bolts do not fall under our guarantee. If broken flush bolts are assessed to have been damaged due to mishandling, they will be charged for.
Furthermore our exclusions is specified per quote detail and all other works or goods or agreements not specified nor or confirmed in writing falls therein.
No verbal agreements will be accepted if not put in writing and all parties agreed.
Acceptance of Quote
Our Standard Terms and Conditions will apply once we received a 70% deposit.
All quotations are compiled based upon the information and specifications provided by yourself (or your professional consultants) an in lieu with our designs and quote details to be confirmed as such. No verbal confirmations or detail changes shall be accepted unless confirmed in writing after such verbal conversation was held.
Notwithstanding the terms of an accepted quotation, should the information, specification or any other relevant factors leading to a quotation be materially altered at any time, CLITE may include the costs and fees related to such alteration in its interim and final invoices.
The client confirms that they have read all above conditions, and have accepted such. This quote remains valid for 7 working days, thereafter may then become subject to material price increases.
Ownership of Goods
Goods remain the property of C Lite Home Solutions until paid for in full.
C Lite retains the right to dispose of goods, not paid for in full and/or collected, within 6 months after execution of an order.
Collection of Goods
The Customer shall be responsible for the uplift of goods at the Factory or any premises of The Company.
All goods to be tied to the vehicle to secure the load remains the customer's full responsibility. We will not be held liable for any goods loaded, packaged or taken in transit once they leave the premises or while loading goods. No assistance will be given to assist in the process of loading, ensuring all goods are secured for transit remains the responsibility of the customer or the customer's 3rd party transporter. Load and transit at your own risk.
WE WILL BE CHARGING OUR CUSTOMERS FOR THE BANK FEES RELATING TO CASH/CHEQUE OR FOREIGN DEPOSITS. THIS IS DUE TO EXCESSIVE BANK CHARGES ON ALL SUCH DEPOSITS!
We reserve the right to change these terms and conditions from time to time in our sole discretion. In the event of any violation of these Terms and Conditions, we reserve the right to seek any and all remedies available, whether by law or in equity.
